Hong Kong remains one of the world's most business-friendly jurisdictions, with over 1.6 million companies registered and a simple, tax-efficient corporate regime. Whether you are an entrepreneur launching your first venture or an established business expanding into Asia, understanding the Hong Kong company registration process is essential. In this guide, we walk through every step, the documents required, and the common pitfalls to avoid.
Hong Kong offers a competitive two-tiered profits tax system — 8.25% on the first HKD 2 million of assessable profits and 16.5% thereafter. There is no capital gains tax, no dividend withholding tax, and no VAT or sales tax. Combined with a world-class legal system based on common law, free flow of capital, and a strategic gateway to Mainland China, it is easy to see why businesses choose Hong Kong.
The most common structure is a private company limited by shares. Key requirements include at least one director (aged 18 or above, no residency requirement), one to 49 shareholders, a company secretary who must be a Hong Kong resident or a Hong Kong-registered company, and a registered physical address in Hong Kong. A sole director cannot also serve as the company secretary.
You will need the following: a copy of the Articles of Association; proof of identity for all directors and shareholders (passport or Hong Kong ID); proof of residential address; the registered Hong Kong office address; and particulars of the company secretary. For corporate shareholders, additional documents such as certificate of incorporation and register of directors are required.
Company names can be in English, Chinese, or both. English names must end with "Limited" and Chinese names with "有限公司". Before filing, conduct a name search through the Companies Registry's Cyber Search Centre to ensure the name is not already taken or too similar to an existing trademark.
Submit the Incorporation Form (NNC1 for companies limited by shares) and the Notice to Business Registration Office (IRBR1) to the Companies Registry. The government fee is HKD 1,720 for incorporation without a business registration certificate, or HKD 1,870 for the one-stop combined application. Electronic applications typically take one to two business days; paper submissions may take up to one week.
Once approved, you will receive the Certificate of Incorporation (CI) and the Business Registration Certificate (BR). You should then arrange for the company chop and common seal, statutory books, share certificates, and minutes of the first board meeting. These documents are required for opening a corporate bank account.
Hong Kong banks conduct rigorous due diligence under Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) regulations. Prepare a detailed business plan, proof of business address, contracts or invoices showing genuine business activity, and personal bank references. HSBC, Hang Seng Bank, and Bank of China (Hong Kong) are popular choices, though approval timelines can range from four to twelve weeks. Alternatives such as virtual banks and fintech platforms offer faster onboarding.
First, do not use a residential address as the registered office if it cannot accept government correspondence. Second, failing to maintain proper accounting records from day one can lead to penalties during the first audit. Third, missing the annual return filing deadline within 42 days of the incorporation anniversary results in escalating fines. Finally, choosing the wrong company secretary can leave you non-compliant without realising it.
Every Hong Kong company must hold an Annual General Meeting (AGM), file an annual return with the Companies Registry, renew the Business Registration Certificate annually, and prepare audited financial statements by a Certified Public Accountant (CPA). Profits tax returns are generally issued in early April each year and must be filed within one month. Companies with no operations may file a dormant status application to simplify compliance.
